The days when commercial obligations were reified in a piece of paper called a note, bill of lading or letter of credit have passed. The role of paper is now played by digital documents and the legal obligations are now, or soon will be, embodied in digital form. This seminar combines an overview of the Uniform Commercial Code as actually used in New Hampshire, including trial work, with an expert review of the role of digital technology, controllable records, and the possible roles of cryptocurrency and NFT's in commerce. Particular attention is paid to new Article 12, and the use of NFT's and controllable records in secured transactions and bills of lading and the like.
