Contracts always deal with future events, and our job in drafting them is to protect our clients’ interests throughout the term with provisions that sufficiently define our clients’ expectations yet are flexible enough to accommodate unforeseen events and circumstances. Wisdom accumulated for hundreds of years through the Common Law guides us, but recent cases demonstrate the need for more definitive strategies to draft provisions that withstand the test of time. In this program, we consider seven specific devices that produce time durable contracts, including new use provisions, force majeure provisions, earnout arrangements, representation and warranty insurance, liability caps, and buyout provisions.
